SOFTWARE DEVELOPMENT AGREEMENT
WHEREAS, the Developer has expertise in coding; and
WHEREAS, the Client desires to engage the Developer.
1. SERVICES
The Developer shall use commercially reasonable efforts to deliver the System by the Deadline. Ideally, the code will be bug-free, but perfection is not guaranteed.
2. PAYMENT
The Client shall pay $10,000 upon completion. If payment is late, a penalty might be assessed at the discretion of the Developer.
3. INTELLECTUAL PROPERTY
The System is hereby licensed to the Client.
